Terms of Service

Agreement

These terms are an agreement between you and Winy LLC, a Delaware limited liability company ("Winy", "we", "us"). They cover the website at winy.ai, the Winy apps for Mac, iPad and iPhone, and Winy's online services at app.winy.ai (together, "Winy"). By using Winy, you agree to these terms and to our Privacy Policy. If you do not agree, do not use Winy.

Who can use Winy

You must be at least 13 years old, and old enough to enter into this agreement where you live. If you use Winy for an organization, you agree to these terms on its behalf and confirm that you are allowed to.

Early access

Winy is in early access. Features may change, break or be removed, and the service may be interrupted. Keep your own copies of anything important.

Your account

You are responsible for your account and for everything done with it, including by the devices and apps you connect to it. Keep your sign-in secure, and tell us right away at support@winy.ai if you think someone else has used it.

Your content

Your boards and everything you put in Winy are yours. You give us permission to store, copy, transmit and display your content only as needed to run Winy for you, for example to sync it between your devices or show it in a connected app you chose. You are responsible for having the rights to the content you put in Winy.

Agents, tools and connected apps

Winy lets you run AI agents, terminals, browsers and other tools, and connect outside apps such as Claude or ChatGPT. These can read and change files, run commands on your devices, and send data to their providers. You choose what to run and what to connect, and you are responsible for what they do. Third-party agents, tools and apps are governed by their own providers' terms, and Winy is not responsible for them.

Acceptable use

Do not use Winy to:

• break the law or infringe anyone's rights;
• harm, harass or deceive others;
• distribute malware or spam;
• access accounts, systems or data you are not allowed to;
• overload, disrupt, probe or reverse engineer Winy's servers or services, except where the law expressly allows it;
• resell or provide Winy to others without our written permission.

Fees

Winy is currently free during early access. If we introduce paid plans, we will show the price and terms before you are charged, and you can choose whether to buy. Purchases made through the App Store are also subject to Apple's terms.

Our software

We give you a personal, non-exclusive, non-transferable, revocable license to use the Winy apps and services under these terms. Winy, its software, design and name belong to Winy LLC. If you send us feedback or ideas, we may use them without any obligation to you. If you got a Winy app from the App Store, Apple's Licensed Application End User License Agreement also applies, and where it conflicts with these terms on the use of that app, Apple's agreement controls.

Ending your use

You can stop using Winy and ask us to delete your account at any time. We may suspend or end your access if you break these terms, if we must for legal reasons, or if we stop offering Winy, and where we reasonably can, we will give you notice and a chance to export your content first.

Disclaimers

Winy is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that Winy will be uninterrupted, error-free or secure, or that content will never be lost.

Limitation of liability

To the fullest extent the law allows, Winy LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or revenue, arising from your use of Winy. Our total liability for any claim about Winy is limited to the greater of the amount you paid us for Winy in the 12 months before the claim, or 50 US dollars. Some places do not allow these limits, so they may not apply to you.

Indemnity

You agree to defend and hold Winy LLC harmless from claims arising from your content, your use of Winy, the agents and tools you run, or your breach of these terms.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be handled in the state or federal courts located in Delaware, unless the law where you live gives you the right to bring it elsewhere.

Changes to these terms

When we change these terms, we update them on this page and change the date at the top. If a change is significant, we will tell account holders by email before it takes effect. Using Winy after a change takes effect means you accept the new terms.
